Terms of Service

1. Acceptance of Terms

By accessing or using SyntaxSuite (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

4. Workspaces and Team Accounts

The Service allows you to create workspaces to organize your client operations. The workspace owner is responsible for managing access, permissions, and the content within the workspace. If you invite team members, you are responsible for their use of the Service within your workspace.

5. Customer Responsibilities

You are responsible for:

  • The accuracy and legality of the data you enter into the Service
  • Ensuring you have the right to process any third-party personal data (such as your clients' information) that you enter into the Service
  • Reviewing all documents, outputs, and communications generated through the Service before sending, publishing, or relying on them
  • Complying with applicable laws and regulations in your use of the Service

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Infringe on the intellectual property rights of others
  • Transmit malicious code, spam, or content that is harmful, abusive, or fraudulent
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Resell or redistribute the Service without written authorization

7. Customer Data

"Customer Data" means all data, content, and information that you or your team members submit, upload, or create within the Service. This includes client records, project information, commercial documents (quotations, contracts, invoices), financial data, notes, and any other content you enter.

You retain all rights, title, and interest in your Customer Data. We do not claim ownership of your Customer Data. We access and process your Customer Data only as necessary to provide and improve the Service, and as described in our Privacy Policy.

8. SyntaxSuite Intellectual Property

The Service, including its software, design, features, documentation, and branding, is owned by SyntaxSuite and protected by applicable intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or branding without prior written consent.

9. AI-Generated Content

The Service may generate suggestions, drafts, summaries, or other content using artificial intelligence ("AI Output"). You acknowledge and agree that:

  • AI Output may be inaccurate or incomplete. AI-generated content is provided as a starting point and should not be relied upon without review.
  • You are responsible for reviewing AI Output before use. This includes quotations, contracts, invoices, communications, and any other business documents generated or drafted by AI features.
  • SyntaxSuite does not provide professional advice. The Service is not a substitute for legal, tax, accounting, or other professional advice. AI-generated content should not be treated as such.
  • You assume responsibility for AI Output you choose to use. Once you accept, send, or publish AI-generated content, you are responsible for its accuracy and appropriateness.

10. Third-Party Services

The Service may integrate with or rely on third-party services (such as payment processors and AI providers). Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

11. Subscriptions and Billing

Certain features of the Service require a paid subscription. Subscriptions are billed in advance on a recurring basis (monthly or annually) through our payment processor. Applicable taxes, including GST, may apply based on your jurisdiction and will be calculated at checkout.

Prices are subject to change. We will provide reasonable notice of any pricing changes before they take effect on your next billing cycle.

12. Free Plan

The Service offers a free plan with limited capacity. The free plan is provided as-is and may be modified or discontinued at our discretion. We may impose or change usage limits on the free plan at any time.

13. Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. No refunds are provided for partial billing periods unless required by applicable law.

14. Suspension and Termination

We may suspend or terminate your access to the Service if you violate these Terms, engage in conduct that is harmful to other users or the Service, or if required by law. We will make reasonable efforts to notify you before or promptly after any suspension or termination, except where prohibited by law or where immediate action is necessary.

15. Data Export and Deletion

You may export your Customer Data through the features available in the Service. If you delete your workspace or account, we will remove your Customer Data from our active systems. Some data may be retained in backups for a limited period or as required by law.

16. Service Availability

We strive to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

17. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PURPOSE.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNTAXSUITE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

19. Indemnification

You agree to indemnify and hold harmless SyntaxSuite and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

20. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will notify you by updating the date at the top of these Terms and, where appropriate, providing additional notice through the Service or via email. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

21. General Provisions

These Terms constitute the entire agreement between you and SyntaxSuite regarding your use of the Service. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
